Advertising Agreement for Microsoft Ads

This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by VETERINARIANS INTERNATIONAL INC ("Advertiser") and Microsoft Corporation ("Microsoft"). 2. Scope of Services

Microsoft Advertising will provide Advertiser access to its advertising platform to create, manage, and display advertisements on Microsoft’s network, including but not limited to Bing, MSN, and other partner sites. The advertisements will direct traffic to the Advertiser’s website: http://veterinariansforpr.com .

3. Advertiser Responsibilities

The Advertiser agrees to the following:

Compliance with Policies:
Advertiser will comply with all applicable Microsoft Advertising policies, including but not limited to:

• Microsoft Advertising Policies
• Prohibition of misleading, deceptive, or illegal content.
• Compliance with copyright, trademark, and intellectual property laws.

Accurate Information:
Advertiser warrants that all information provided to Microsoft, including business name, address, phone number, email, and EIN, is accurate and up-to-date.

Prohibited Content:
Advertiser will not promote any content that violates Microsoft’s prohibited content guidelines, including but not limited to:

• Adult content
• Hate speech or discriminatory content
• Illegal products or services
• Misleading claims or offers

Billing and Payments:
Advertiser agrees to pay all charges incurred through the Microsoft Advertising platform in accordance with the payment terms specified in this Agreement. Payment methods may include credit cards, debit cards, or other approved methods.

Website Compliance:
Advertiser’s website, http://veterinariansforpr.com , must comply with Microsoft’s landing page policies, ensuring it is functional, secure, and provides a positive user experience.

4. Microsoft Responsibilities

Microsoft agrees to the following:

Platform Access:
Microsoft will provide Advertiser with access to its advertising platform, tools, and resources to create and manage campaigns.

Support:
Microsoft will provide technical support and guidance to assist Advertiser in optimizing its advertising campaigns.

Data Privacy:
Microsoft will handle all data collected through the advertising platform in accordance with its Privacy Policy and applicable data protection laws.

5. Payment Terms

1. Advertiser will be billed based on the cost-per-click (CPC), cost-per-impression (CPM), or other pricing models selected during campaign setup.
2. Advertiser authorizes Microsoft to charge the payment method on file for all advertising expenses incurred.
3. Late payments may result in suspension of advertising services.

6. Term and Termination

Term:
This Agreement begins on the date of acceptance and continues until terminated by either party.

Termination by Advertiser:
Advertiser may terminate this Agreement at any time by ceasing all advertising campaigns and notifying Microsoft.

Termination by Microsoft:
Microsoft may terminate this Agreement immediately if Advertiser violates any terms of this Agreement or Microsoft’s advertising policies.

Effect of Termination:
Upon termination, Advertiser will remain responsible for all charges incurred prior to termination.

7. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless Microsoft and its affiliates from any claims, damages, or liabilities arising from:

• Advertiser’s breach of this Agreement.
• Advertiser’s violation of any laws or third-party rights.

8. Limitation of Liability

1. Microsoft’s total liability under this Agreement shall not exceed the total amount paid by Advertiser for advertising services in the preceding 12 months.
2. Microsoft shall not be liable for any indirect, incidental, or consequential damages.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements or understandings, whether written or oral.

11. Acceptance

By submitting this Agreement, Advertiser acknowledges that it has read, understood, and agrees to be bound by the terms and conditions outlined herein.
